These Terms of Service (“Terms”) govern your access to and use of the XFatora website, applications, and services (collectively, the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms.

XFatora is operated by Mobileaders (as part of its projects/portfolio). In these Terms, “XFatora,” “we,” “us,” or “our” refers to the Service operator and its authorized contractors/affiliates that help provide the Service.

If you do not agree to these Terms, do not use the Service.

Related Policies

1) Definitions

Customer: The organization or individual that creates an XFatora account.

User: Any person authorized by the Customer to use the Service (including admins, employees, contractors).

Customer Content: Data and content submitted to the Service by or on behalf of Customer (e.g., customer records, invoices, HR records, files, configurations).

Subscription: The paid plan (if any) under which the Service is provided.

Documentation: Any guides or instructions we provide for the Service.

2) Account Registration and Responsibilities

Eligibility: You must be able to form a binding contract and comply with applicable laws.

Account Accuracy: You agree to provide accurate information and keep it updated.

Security: You are responsible for maintaining the confidentiality of credentials and all activity under your account.

Admin Controls: If you create an organization account, your admins may manage Users, permissions, and access.

3) Subscription, Billing, and Payments

Plans and Fees: Pricing, features, and limits are defined on the pricing page or order form and may vary by plan.

Billing Cycle: Subscriptions may bill monthly or annually as selected.

Taxes: Fees may exclude taxes (VAT or similar) unless stated otherwise.

Late/Failed Payments: If payment fails, we may suspend or restrict the Service until payment is resolved.

Upgrades/Downgrades: Plan changes may take effect immediately or at the next renewal depending on the plan rules displayed at checkout.

Refunds: Refunds (if any) follow the refund terms shown at purchase or order form.

4) Use of the Service and Acceptable Use

You agree not to:

  • Use the Service for unlawful, harmful, or fraudulent activities.
  • Attempt to gain unauthorized access to systems, accounts, or data.
  • Upload malware, exploit vulnerabilities, or interfere with Service operations.
  • Reverse engineer or attempt to extract source code (except where permitted by law).
  • Use the Service to violate privacy rights or intellectual property rights.

We may limit or suspend access if we reasonably believe your use violates these Terms or creates security/legal risk.

5) Customer Content

Ownership: Customer retains ownership of Customer Content. XFatora does not claim ownership of your business data.

License to Operate: You grant XFatora a limited license to host, process, transmit, and display Customer Content only to provide and improve the Service, support requests, and maintain security.

Your Responsibilities: You are responsible for the legality, accuracy, and permissions for Customer Content (including employee/customer data).

Data Export: You may be able to export your data using features available in your plan or by request (subject to reasonable limits).

6) Privacy

Our Privacy Policy explains how we collect and use personal information. By using the Service, you acknowledge the Privacy Policy.

7) Intellectual Property

XFatora Materials: The Service, software, design, logos, and Documentation are owned by XFatora or its licensors and protected by applicable IP laws.

Restrictions: You may not copy, modify, distribute, or create derivative works of the Service except as explicitly allowed.

Feedback: If you provide feedback, you grant XFatora the right to use it without restriction or compensation.

8) Third-Party Services and Integrations

The Service may support third-party tools, links, or integrations. Use of third-party services is governed by their terms and policies. XFatora is not responsible for third-party services.

9) Service Availability, Changes, and Support

Availability: We aim to keep the Service available but do not guarantee uninterrupted operation.

Maintenance/Updates: We may modify, update, or discontinue parts of the Service. If changes materially reduce core functionality, we will make reasonable efforts to notify you.

Support: Support channels and response times may vary by plan.

10) Confidentiality

Each party may receive confidential information from the other. Confidential information must be protected using reasonable care and used only to fulfill obligations under these Terms.

11) Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law:

  • XFatora disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • XFatora does not warrant that the Service will meet all requirements, be uninterrupted, error-free, or that all data will be error-free.

12) Limitation of Liability

To the maximum extent permitted by law:

  • XFatora will not be liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, data, or business).
  • XFatora’s total liability for all claims related to the Service will not exceed the amount paid by you to XFatora for the Service in the 12 months preceding the event giving rise to the claim, or USD 5,000 if no fees were paid.

13) Indemnification

You agree to indemnify and hold XFatora harmless from claims arising out of:

  • Your Customer Content,
  • Your use of the Service in violation of these Terms,
  • Your violation of laws or third-party rights.

14) Suspension and Termination

By You: You may stop using the Service and cancel your subscription according to your plan rules.

By Us: We may suspend or terminate access if you violate these Terms or if required by law.

Effect: Upon termination, access ends. Customer Content may be deleted after a reasonable retention period, consistent with our Privacy Policy and backup cycles.

15) Governing Law

These Terms are governed by the laws of Egypt, without regard to conflict-of-laws rules.

16) Changes to These Terms

We may update these Terms. If changes are material, we will post the updated Terms and revise the “Last Updated” date. Continued use of the Service after changes means you accept the updated Terms.
