1. Introduction
These Terms of Service govern access to and use of xfatora.com, Xfatora subscriptions, demos, support, and related business software services.
By accessing xfatora.com, requesting a demo, creating an account, subscribing to Xfatora, or using Xfatora services, you agree to these Terms. If you use Xfatora on behalf of an organization, you confirm that you are authorized to accept these Terms on behalf of that organization.
2. Xfatora services
Xfatora provides business software for managing workflows that may include accounting, invoicing, CRM and sales, customer records, procurement, inventory, project management, HR and payroll, time and attendance, helpdesk, fleet operations, logistics, manufacturing, surveys, goals, data exports, assets, warranty management, and compliance-related processes.
Available modules, features, limits, plans, support levels, and implementation scope may vary by subscription, agreement, region, customer configuration, and service package.
3. Accounts and access
Customers are responsible for providing accurate account and billing information, keeping login credentials confidential, managing users, roles, permissions, and access rights, ensuring only authorized users access the account, promptly removing users who should no longer have access, and notifying Xfatora of suspected unauthorized access or security incidents. Actions taken through an account may be treated as authorized unless Xfatora is notified of unauthorized use.
4. Customer data
Customers retain ownership of the business data they submit, upload, import, generate, or store in Xfatora. Customers grant Xfatora the rights needed to host, process, transmit, display, back up, troubleshoot, secure, and support customer data solely for providing and improving the service, fulfilling customer requests, complying with obligations, and protecting service integrity.
Customers are responsible for the accuracy, legality, quality, and appropriateness of their data.
5. Customer responsibilities
Customers and users must use Xfatora only for lawful business purposes, comply with applicable laws, obtain required consents and permissions, maintain accurate accounting, tax, payroll, HR, commercial, and operational records, review outputs before relying on them, maintain appropriate internal controls, and use the service according to documentation, agreed scope, and applicable policies.
6. No professional advice
Xfatora may help organize business records, calculations, reports, workflow approvals, compliance files, and operational data. Xfatora does not provide legal, tax, accounting, payroll, HR, audit, investment, or regulatory advice. Customers remain responsible for reviewing outputs and consulting qualified advisers where required.
7. Subscriptions, fees, and payment
Access to paid Xfatora services may require payment of subscription fees, setup fees, implementation fees, customization fees, support fees, or other agreed charges. Unless otherwise agreed in writing, fees are due according to the selected plan, invoice, order form, or written agreement; access may be suspended or terminated for non-payment; taxes and payment charges may be the customer responsibility; and plan changes may affect features, limits, pricing, and billing dates.
8. Trials, demos, support, and implementation
Xfatora may offer demos, trial accounts, pilot access, preview features, or beta features. These may be limited, temporary, incomplete, modified, suspended, or withdrawn at any time.
Support, onboarding, training, data migration, configuration, customization, and implementation services may be provided according to the customer plan, package, or written agreement. Customer delays in providing information, access, approvals, data, feedback, or payment may affect delivery timelines and outcomes.
9. Acceptable use and intellectual property
Customers and users must comply with the Acceptable Use Policy. Xfatora may suspend or restrict access where use threatens security, service integrity, legal compliance, or the rights of others.
Xfatora and its licensors retain all rights in the service, website, product design, software, workflows, documentation, content, branding, and related materials. Customer data remains the customer property.
10. Confidentiality and third-party services
Each party may receive confidential information from the other and must protect it using reasonable care and use it only for the business relationship.
Xfatora may interoperate with third-party services, payment providers, communication channels, hosting services, analytics tools, integrations, or external platforms. Third-party services are governed by their own terms and policies.
11. Availability, suspension, and termination
Xfatora aims to provide reliable service but does not guarantee uninterrupted or error-free operation. Maintenance, updates, security work, outages, internet issues, third-party failures, or customer-side issues may affect availability.
Xfatora may suspend or terminate access if fees are unpaid, the account is used unlawfully or abusively, security is at risk, the customer breaches these Terms or related policies, continued access may cause harm or liability, or suspension is required by law. Customers may cancel according to the applicable plan, agreement, or Refund Policy.
12. Disclaimers, liability, and indemnity
To the maximum extent permitted by law, Xfatora services are provided on an as-is and as-available basis. Xfatora does not guarantee that the service will be uninterrupted, error-free, meet every customer requirement, or produce results that are legally, financially, or commercially sufficient without customer review.
To the maximum extent permitted by law, Xfatora will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data, or business interruption.
Customers agree to defend and indemnify Xfatora against claims, damages, liabilities, costs, and expenses arising from customer data, misuse of the service, breach of these Terms, violation of law, infringement of third-party rights, or unauthorized account use caused by customer-side failures.
13. Changes and contact
Xfatora may update these Terms from time to time. The updated version will be posted on xfatora.com with a revised last updated date. Continued use after an update means the updated Terms apply.
